Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Companion mobile applications, websites and related services (collectively, the “Platform”), operated by Companion Technologies Pvt. Ltd. (PLACEHOLDER) (“Companion”, “we”, “us”). By creating an account or using the Platform, you agree to these Terms, our Privacy Policy and our Community Guidelines. If you do not agree, do not use the Platform.

What Companion is. Companion is a neutral technology intermediary that connects users (“Clients”) with independent providers (“Companions”) for lawful, non-sexual social companionship — such as coffee, meals, events, city tours and conversation. Companion is not a party to any arrangement between users, does not employ Companions, and does not provide companionship services itself.

1. Eligibility & accounts

  • You must be at least 18 years old and legally able to enter a contract. The Platform is strictly not available to minors.
  • You must provide accurate information, keep your credentials secure, and are responsible for all activity on your account.
  • Companions may be required to complete identity and other verification. Verification badges indicate a check was performed; they are not a guarantee of any person’s conduct, identity or safety.

2. Nature of the service & strictly prohibited uses

The Platform is for arranging lawful companionship and social activities only. You expressly agree not to use the Platform to offer, solicit, arrange, or pay for:

  • any sexual, escort, or adult service of any kind, or any act in exchange for sexual activity;
  • any illegal activity, trafficking, coercion, or exploitation;
  • harassment, threats, hate, or discrimination; or
  • any service that violates applicable law.

Bookings are for a person’s time and lawful company only. Any attempt to use the Platform for prohibited purposes is a material breach, will result in immediate termination, and may be reported to law-enforcement authorities.

3. Bookings, payments & fees

  • Clients request bookings; Companions may accept or decline. A booking is confirmed only after payment is authorised.
  • Payments are processed by third-party payment providers and held in escrow, then released to the Companion (less the Platform fee) after the session, in accordance with the in-app flow.
  • Companion charges a service/platform fee, disclosed at checkout. Fees and rates may change with notice.
  • Cancellations and refunds follow the cancellation policy shown at the time of booking. Escrowed funds for a cancelled or declined booking are refunded per that policy.
  • You must not circumvent the Platform to arrange or pay for bookings off-platform.

4. Companion (provider) terms

  • Companions are independent individuals, not employees, agents or partners of Companion.
  • Companions are responsible for their own taxes, compliance, and the lawful conduct of their services.
  • Companions set their availability and rates within the Platform and agree to honour confirmed bookings or cancel promptly.

5. Your conduct & safety

You agree to follow our Community Guidelines and to treat other users with respect. Meetings arranged through the Platform happen in the real world between independent adults. Companion does not supervise, control, or take responsibility for offline conduct, meetings, or interactions. Meet in public where possible, tell someone your plans, and use your judgment. Report concerns via the in-app tools or grievance@companion.app.

6. Messaging & content

  • In-app messages are end-to-end encrypted; Companion cannot read message content. This also means we cannot recover it, and moderation of message content is limited to reports and metadata.
  • You retain ownership of content you submit (e.g. profile photos) and grant Companion a limited licence to host and display it to operate the Platform.
  • You must have the right to any content you upload and must not post unlawful, infringing, or harmful material.

7. Suspension & termination

We may suspend or terminate your access at any time for breach of these Terms, unlawful or unsafe conduct, risk to others, or as required by law. You may stop using the Platform and request account deletion at any time (see the Privacy Policy).

8. Disclaimers

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, to the fullest extent permitted by law. Companion does not warrant the conduct, identity, safety, or suitability of any user, or that the Platform will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Companion and its officers, employees and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from user conduct or offline interactions. Our aggregate liability for any claim relating to the Platform will not exceed the total Platform fees you paid to us in the three (3) months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Companion harmless from claims, damages and expenses arising out of your use of the Platform, your content, your interactions with other users, or your breach of these Terms or applicable law.

11. Intermediary status & grievance redressal

Companion is an “intermediary” under the Information Technology Act, 2000 and applicable intermediary guidelines, and observes due diligence as required. Complaints regarding content or conduct may be sent to our Grievance Officer: Grievance Officer, Companion (PLACEHOLDER), grievance@companion.app. We aim to acknowledge complaints promptly and resolve them within the timelines prescribed by law.

12. Governing law & disputes

These Terms are governed by the laws of India. Subject to applicable law, disputes will be resolved by arbitration seated in Bengaluru under the Arbitration and Conciliation Act, 1996, and the the courts at Bengaluru, Karnataka will have exclusive jurisdiction for matters not subject to arbitration.

13. Changes

We may update these Terms. Material changes will be notified in-app or by other reasonable means, and continued use after changes take effect constitutes acceptance. The current version and effective date appear at the top of this page.
